Expertise Sprint Work Agreement

Mike L. Murphy | MikeLMurphy.com

Between 308 Publishing Inc. ("Provider"), providing services under the Mike L. Murphy brand, and the undersigned Client. Together, the "Parties."

Effective Date: _________________________

This Agreement covers either the Website Sales Sprint ($4,280 USD) or the Full Expertise Sprint ($8,000 USD), as expressly selected by Client, and the same automatically renewing $500 USD/month continuation service for either offer. Schedule A defines the selected Sprint deliverables; Schedule B defines the shared ongoing support and website build. Only the selected Sprint scope is purchased. The paid invoice and enrollment confirmation must match that selection; any additional scope or fee requires written agreement.

Summary for convenience

This summary is non-binding. The numbered sections and Schedules A and B control.

Sample first: The 15-minute quick chat is separate. Session 1 is the first of three Sprint working sessions. No fee is charged before or during Session 1. At its end, Client may decline with no payment or continuing obligation, or proceed and pay the selected Sprint fee: $4,280 for Website Sales Sprint or $8,000 for Full Expertise Sprint.

Sprint: Approximately three hours of Client meeting time across three sessions, normally over approximately three weeks. Provider performs additional preparation and production between sessions. At Session 3, Provider delivers the documents included in the selected Sprint. AI project setup is included only in the Full Expertise Sprint.

Automatic continuation: Paying the selected Sprint fee enrolls Client in ongoing support at $500/month, first charged 30 days after paid enrollment and monthly thereafter until canceled. Cancellation requires 30 calendar days’ written notice emailed to support@mikelmurphy.com. Billing and service continue during the notice period; renewals falling before the cancellation date remain payable in full, without prorated refunds. At cancellation, Provider supplies the completed paid-for site files as a ZIP; Client must download and save them and arrange its replacement site without Provider. There is no minimum subscription term and no contractual refund option after payment.

Monthly continuation service: Provider normally builds one website and three-page call funnel during Months 2–4, up to ten pages combined. The service includes up to two hours of routine website maintenance per paid service month and one shared group support call per paid service month. It includes no individual consulting calls, direct WhatsApp access to Mike, unlimited development or bespoke strategy work. Individual access to Mike is limited to the three Sprint working sessions in the selected paid Sprint engagement.

Client responsibilities: Sprint inputs and reviews within three Business Days; website/funnel feedback within five Business Days. Late website feedback pushes delivery without a separate delay fee, while monthly subscription billing continues. Third-party fees are Client’s responsibility; two in-scope revision rounds per major deliverable are included.

Ownership and publicity: Client owns paid-for final custom deliverables; Provider retains underlying methods and frameworks. Provider may describe non-confidential work using Client’s first name and last initial. Likeness, images and video clips require separate written consent and approval of the exact asset.

0 Definitions

a. Deliverables means the work products listed in Schedules A and B.

b. Services means the selected Website Sales Sprint or Full Expertise Sprint and ongoing support described in this Agreement.

c. Business Day means Monday through Friday, excluding U.S. federal holidays.

d. Enrollment Date means the date Client affirmatively agrees to proceed at the end of Session 1 and pays the selected Sprint fee. Attending Session 1 alone does not constitute paid enrollment or recurring payment authorization.

e. Month 1 begins on the Enrollment Date and ends immediately before the first subscription charge, 30 days later. Month 2 begins on that first charge date. Each subsequent service month begins on the next monthly billing anniversary; when that day does not exist, the last day of the month applies. Month numbers refer to this schedule, not calendar months.

1 Services

Provider will perform the Sprint across three approximately 60-minute working sessions as described in Schedule A. The separate 15-minute quick chat is not a Sprint session. Session 1 is a working sample and also the first of the three Sprint sessions for a Client who proceeds; it is not an additional fourth session.

No fee is collected before or during Session 1. At the end of Session 1, Client may decline to proceed without paying. If Client proceeds, the selected Sprint fee becomes due immediately and includes Session 1 as part of the complete Sprint. Sessions 2 and 3 and production of the remaining deliverables proceed after payment.

Website design/development is excluded from the Sprint and included in the ongoing service under Schedule B, with construction normally scheduled for Months 2–4. Other excluded services require a separate written agreement.

2 Term and payments

a. Term: The sample engagement begins on the Effective Date. The paid engagement begins on the Enrollment Date. Sprint sessions are normally completed over approximately three weeks, subject to scheduling, Client inputs and approvals. The Agreement continues during ongoing support until terminated.

b. Sprint fee: Website Sales Sprint is $4,280 USD; Full Expertise Sprint is $8,000 USD. Client expressly selects one offer in the enrollment confirmation and online consent record. The selected fee is paid in full at the end of Session 1 if Client elects to proceed. No installment plan is included. Additional website-copy scope, if any, requires a separately agreed written scope and fee; it is not automatically included or charged.

c. AUTOMATIC MONTHLY CONTINUATION: Paid enrollment automatically includes a $500 USD/month subscription. The first $500 charge occurs 30 days after the Enrollment Date. Charges recur monthly thereafter until canceled. The selected setup fee covers the selected Sprint, including its three individual working sessions with Mike; no additional $500 fee is charged during Month 1. Paid monthly maintenance and shared group calls begin in Month 2 under Schedule B.

d. Taxes: Fees exclude applicable sales or value-added taxes, which Client must pay if required.

e. Payment authorization and cancellation: By affirmatively accepting these terms and enrolling, Client authorizes the selected $4,280 or $8,000 setup payment and recurring $500 monthly charges to the designated payment method. To cancel ongoing support, Client must email written notice to support@mikelmurphy.com from its email address on record, identifying the Client and stating that it wishes to cancel. No form, phone call, group-call attendance or separate approval is required. Cancellation takes effect 30 calendar days after Provider receives that email, or on a later date requested by Client. Provider will confirm receipt and the effective cancellation date in writing; failure to send that confirmation does not extend a valid notice period.

Billing during notice: The $500 subscription and service continue during the 30-day notice period. Each scheduled monthly renewal occurring before the effective cancellation date is charged in full and is not prorated or refunded for unused days after cancellation. No renewal charge is due on or after the effective cancellation date. For example, if billing renews on the first of each month and notice is received on 12 October, cancellation takes effect on 11 November. The 1 November renewal remains payable in full; no December renewal is charged, and no partial November refund is due. Client may send notice earlier to avoid a renewal falling within the notice period.

Cancellation ends monthly website work, maintenance, group calls and Provider-managed hosting or deployment support on the effective cancellation date. It does not cancel Provider’s remaining paid Sprint delivery obligations. The file handover and Client’s responsibility for the replacement website are governed by Section 10(d) and Schedule B.

f. No contractual refunds: If Client declines at the end of Session 1, no payment is due. Once Client elects to proceed and pays, the Sprint fee and monthly fees already charged are non-refundable. There is no satisfaction guarantee, delivery-deadline refund guarantee or other contractual refund option. This does not remove Provider’s delivery obligations or remedies and rights that applicable law does not permit the Parties to waive.

g. Reserved time and delays: Payments reserve Provider’s resources. Client inactivity or delays do not pause recurring billing or create a contractual refund entitlement. Delivery deadlines extend for Client-caused delays. Client may still cancel future subscription charges under Section 2(e).

h. Late payments: Payments more than five Business Days late may accrue a 1.5% monthly finance charge, not exceeding the maximum permitted by law.

3 Client obligations

a. Materials and access: Client shall provide requested Sprint materials, suitable account access and approvals within three Business Days. Website and call-funnel inputs, feedback and approvals are due within five Business Days under Schedule B, which controls for that work. Client retains ownership and control of its accounts and should use secure delegated access where available.

b. Review and revisions: Client must review Sprint drafts within three Business Days. Lack of response constitutes acceptance of ordinary Sprint deliverables, but never consent to marketing use of likeness, images, recordings or video clips. Website and call-funnel work instead follows Schedule B’s five-Business-Day review process; silence is not approval of that work or authorization to publish or switch DNS. Two rounds of revisions are included per major deliverable. Requests must be submitted within five Business Days of delivery and remain within the agreed strategy and scope; a new offer, audience, strategy or additional deliverable requires a written scope agreement.

c. Delays: Late Client inputs extend Provider’s timeline accordingly and do not pause billing. Provider may grant a grace period of up to ten days but is not obligated to do so.

d. Third-party tools: Client is responsible for fees and performance of required third-party tools, including AI subscriptions, domain registration, hosting and any approved paid plugins or licensed assets. Provider is not liable for their failures or interruptions.

e. Payment issues: If a payment fails, Client has five Business Days from notice to cure. If uncured, Provider may suspend or terminate Services.

4 Deliverables

Deliverables are listed in Schedules A and B. Provider will deliver professional-quality strategy, positioning and communication assets consistent with industry standards. Provider does not guarantee specific business outcomes, revenue, leads, rankings or return on investment.

The Sprint excludes website design/development, ad management, paid media, CRM implementation, filming, editing, graphic design, daily content production, posting and outbound prospecting. The website and call-funnel implementation exceptions apply only to Schedule B, including page layouts, stock/client-supplied images, calendar reminders, tracking installation and written video outlines. Filming, video production/editing and standalone graphic design remain excluded. The monthly continuation service includes no individual consulting calls, direct WhatsApp access to Mike, unlimited development or bespoke strategy work. Individual access to Mike belongs to the selected paid Sprint engagement as defined in Schedule A.

5 Intellectual property

a. Ownership: Client owns final approved custom Deliverables created specifically for Client once the fees applicable to those Deliverables have been paid. Canceling ongoing support does not remove ownership of paid-for Sprint deliverables.

b. Provider IP: Provider retains ownership of underlying systems, AI prompts, frameworks, templates and methods. Provider grants Client a perpetual, non-exclusive license to use embedded Provider IP in paid-for Deliverables within Client’s business, including use by its team and service providers for that purpose. Client may not separately sell, sublicense or transfer Provider IP without written consent.

c. Client warranty: Client warrants it owns or has rights to materials it provides and shall indemnify Provider from related third-party claims.

d. Provider warranty: Provider warrants that any stock media it supplies is properly licensed. Third-party software, platforms and assets remain subject to their own license terms.

e. Reservation of rights: All rights not expressly granted are reserved by Provider.

5A Marketing case studies and publicity

a. Limited permission: Client permits Provider to describe the non-confidential work performed for Client in portfolios, case studies and marketing using only Client’s first name and last initial. Provider may accurately describe what was done and use verified, non-confidential outcomes. This does not authorize disclosure of Client’s full surname, business name, logo, LinkedIn profile, identifiable website screenshots, confidential information or an attributed testimonial quotation without separate written consent.

b. Likeness and asset approval: Before using Client’s likeness, photograph, image, voice, session recording or video clip in marketing, Provider must obtain Client’s affirmative written consent and approval of the specific image or final video/audio clip to be used. Approval of one asset does not authorize another asset or materially altered version. Silence or failure to respond is not consent.

c. Revocation: Client may revoke publicity permission with thirty days’ written notice. Revocation applies to future use only; Provider will stop new publication and distribution after that period.

d. Confidentiality: Provider shall not disclose Confidential Information in publicity materials without Client’s written consent. Any session recording is for internal quality assurance and service delivery only unless separately approved under Section 5A(b).

6. Confidentiality and Mutual Non-Disclosure

a. Definition: "Confidential Information" means any non-public business, technical, or proprietary information disclosed by either Party, including plans, strategies, client lists, pricing, and intellectual property.

b. Mutual Obligation: Each Party shall hold the other's Confidential Information in strict confidence, not disclose it to third parties without written consent, and use it solely to perform this Agreement.

c. Exclusions: Information is not confidential if it was known before disclosure, becomes public without fault, is lawfully received from a third party, or is independently developed.

d. Compelled Disclosure: If required by law, the receiving Party shall promptly notify the disclosing Party and cooperate in protective actions.

e. Duration: Obligations survive for five years after termination.

7. Independent Contractor and Non-Solicitation

a. Status: Provider is an independent contractor. This Agreement does not create an employment, partnership, or joint venture relationship.

b. Non-Solicitation: During the Term and for twelve months thereafter, Client shall not directly or indirectly solicit, recruit, or hire Provider's employees, contractors, or subcontractors for services substantially similar to those provided under this Agreement without Provider's prior written consent.

8. Indemnification

a. General: Each Party shall indemnify and hold harmless the other Party and its officers, directors, employees, and agents from losses, damages, or expenses arising from that Party's negligence or willful misconduct.

b. Procedure: The indemnified Party shall promptly notify the indemnifying Party of any claim and permit the indemnifying Party to control the defense, with cooperation from the indemnified Party.

8A. Mutual IP Indemnification

Each Party shall defend and indemnify the other from third-party claims alleging that materials or content supplied by the indemnifying Party infringe upon any patent, copyright, trademark, or trade secret.

9. Limitation of Liability

a. Provider's total liability under this Agreement shall not exceed the total fees actually paid by Client.

b. Neither Party shall be liable for indirect, incidental, or consequential damages, including lost profits or third-party costs.

c. These limitations apply to all causes of action and survive termination.

9A. Mutual Representations and Warranties

a. Authority: Each Party represents and warrants that it has full authority to enter this Agreement.

b. Compliance: Each Party shall comply with applicable laws including those related to advertising, data protection, and intellectual property.

c. No Infringement: Each Party warrants that materials it provides do not infringe on the rights of third parties.

10 Termination

a. By Client: Client may decline at the end of Session 1 with no fee or ongoing obligation. Following paid enrollment, Client may discontinue participation in the Sprint without a contractual refund and may cancel ongoing support under Section 2(e). There is no minimum subscription term or obligation to pay for future months after effective cancellation.

b. By Provider: Provider may suspend or terminate Services if Client fails to pay within the five-day cure period or materially breaches this Agreement. Suspension does not relieve Client of amounts already due. Provider may end ongoing support on thirty days’ written notice; it will not charge for service months after its termination takes effect.

c. For cause: Either Party may terminate upon written notice if the other materially breaches and fails to cure within ten Business Days of notice, becomes insolvent or bankrupt, or engages in fraud or criminal activity related to this Agreement.

d. Effect and site handover: Unpaid amounts due through the effective termination date remain payable. Termination does not accelerate renewals scheduled on or after that date. By the effective cancellation date, Provider will email Client a ZIP attachment or a download link to a ZIP containing all completed, paid-for custom website and call-funnel HTML files, their accompanying CSS and JavaScript files, and associated image and other assets that Provider is entitled to transfer. If no website work has been completed, Provider will state that in writing; cancellation does not create an obligation to build missing pages. If the build is unfinished, the ZIP contains the completed work in its then-current state. Provider need not complete the remaining build after cancellation.

Client must promptly download the ZIP, verify that it opens and save its own backup. Client owns and controls the handover after delivery and is responsible, at its own expense, for selecting replacement hosting, rebuilding or deploying its new site, transferring its domain or DNS, reconnecting integrations and testing the result. Provider does not perform migration, rebuilding, installation, ongoing support or troubleshooting for the replacement site after cancellation. Such assistance is available only under a separately agreed written scope and fee. Provider has no obligation to store the ZIP or keep a download link available indefinitely after delivery; Client must not rely on Provider as its backup service.

The ZIP is a source-file handover, not a promise that every function will run simply by opening an HTML file. Calendars, forms, email, analytics, payments, databases and other external or server-based features may require new accounts, configuration or replacement implementation. Provider will include a brief handover note identifying known external dependencies and items not included in the ZIP. Third-party accounts, services, database contents, credentials, secrets and assets whose licenses prohibit transfer are not included. Client retains rights in its own accounts and data and must arrange any necessary exports. Client’s ownership and permitted-use rights in paid-for custom work continue under Section 5. Cancellation of ongoing support alone does not release Provider from delivery of the paid Sprint. Provisions intended by their nature to survive termination remain effective.

11. Force Majeure

Neither Party shall be liable for delay or failure to perform due to causes beyond reasonable control, including acts of God, government action, labor disputes, or internet outages. Deadlines shall be extended for the duration of the event and performance shall resume promptly afterward.

11A. Data Protection and Security

a. Each Party shall implement commercially reasonable safeguards to protect any personal data or Confidential Information received from the other Party.

b. Provider may use Client’s data solely to perform the Services and, for publicity, only as expressly permitted in Section 5A. Provider shall not sell Client data. Client authorizes use of the selected AI and other service platforms as reasonably necessary to perform the Services, subject to their terms and appropriate confidentiality safeguards.

c. In the event of a data breach, the affected Party shall notify the other within seventy-two hours of discovery.

d. These obligations survive termination.

12. Dispute Resolution and No Chargebacks

a. Mediation and Arbitration: Before arbitration, the Parties shall attempt good-faith mediation for at least ten Business Days. Any unresolved dispute shall be resolved exclusively by binding arbitration administered by the American Arbitration Association in Miami-Dade County, Florida, under its Commercial Arbitration Rules.

b. Arbitrator Authority: The arbitrator shall have authority to award legal and equitable relief, including attorneys' fees and costs to the prevailing Party.

c. Confidentiality: Arbitration proceedings and award shall remain confidential except as required by law.

d. Payment disputes: Client shall not initiate a chargeback for a valid, authorized charge solely to avoid agreed payment obligations and shall first notify Provider of a disputed charge to permit good-faith resolution. Nothing waives non-waivable legal rights or the right to dispute an unauthorized charge.

13. Miscellaneous

a. Entire Agreement: This Agreement including Schedules A and B constitutes the entire understanding between the Parties and supersedes all prior agreements.

b. Amendment: Modifications must be in writing and signed by both Parties.

c. Assignment: Neither Party may assign this Agreement without the other's written consent.

d. Severability: If any provision is invalid, the remainder shall remain enforceable.

e. Notices: Official notices must be in writing and sent by email. Provider’s notice and cancellation address is support@mikelmurphy.com; Client’s address is the email on record.

f. Non-Disparagement: Each Party shall refrain from making any public statement that defames or disparages the other. Truthful statements required by law are excluded.

g. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles.

h. Survival: Intellectual property, publicity permissions subject to revocation, confidentiality for its stated duration, accrued payment obligations, indemnification, liability limits, data protection and dispute-resolution provisions survive termination as applicable. Service delivery and subscription billing do not continue merely because a provision survives.

i. Counterparts and Electronic Signatures: This Agreement may be executed in counterparts and electronically. Each counterpart is deemed an original.

Schedule A Selected Sprint deliverables

The following Website Sales Sprint scope or Full Expertise Sprint scope applies according to Client’s recorded selection. Both use three approximately one-hour working sessions, with research, writing and organizing by Provider between sessions. Core documents are delivered at Session 3 within 30 days of paid enrollment, subject to Client scheduling, inputs, approvals and the delay provisions of this Agreement. The 15-minute quick chat is separate.

Website Sales Sprint scope $4280

1. Clarification: Ideal-client, offer, positioning and differentiation clarification.

2. Research: Customer language and competitor research relevant to the agreed website messaging.

3. Website copy: Homepage messaging and copy, recommended structure and messaging hierarchy, credibility and proof structure, and primary CTA language. Any additional copy pages must be identified in writing before paid enrollment; extensive sites, blogs and ecommerce catalogs are not included by default.

4. Booking messaging: Primary booking CTA and messaging that explains the quick chat and next step. This does not include a sales-call funnel document, sales-call scripts, qualification framework or sales/follow-up templates.

Excluded from Website Sales Sprint: LinkedIn rewrite, internal offer and process one-pagers, full sales-call funnel documents, sales/follow-up templates, Content Coach, content calendar, AI-ready expertise files and AI project installation. Website design, building, publication and hosting are not included in the $4,280 setup fee; website implementation is through the same monthly continuation service in Schedule B.

For Website Sales Sprint clients, Session 1 extracts the website messaging inputs, Session 2 reviews the proposed messaging and copy, and Session 3 delivers the agreed copy and structure. AI project setup and Full Sprint materials are not implied by participation in the three sessions.

Full Expertise Sprint scope $8000

The Full Expertise Sprint turns Client’s expertise into a clear business communication system. Documents are delivered digitally in an agreed Google Drive folder or equivalent accessible format. Website construction is governed separately by Schedule B.

Session 1 Extract and sample

Approximately 60 minutes with Mike L. Murphy to assess the business, ideal client, offer, differentiators, proof, messaging and sales process. Provider performs a live positioning diagnostic and extracts the information needed for the system. Client chooses at the end whether to proceed and pay. If Client declines, Provider has no obligation to produce the remaining deliverables or install an AI project.

Session 2 Build and refine

Approximately 60 minutes to review and refine positioning, offer, process, messaging and the system in development. Provider prepares the documents between sessions and resolves outstanding questions with Client.

Session 3 Deliver and install

Approximately 60 minutes to review and deliver all documents listed below and set up the structured knowledge files and instructions in one Client-owned Claude or ChatGPT project, selected with Client. Client provides a suitable account and any required subscription. Provider demonstrates how Client and its team can use the project for future sales and marketing work. Client controls its account; setup may be performed with Client through screen sharing.

Included documents and AI setup

1. Positioning and offer: Core positioning and messaging, ideal client definition, differentiation and proof positioning, an internal offer one-pager, and a process/methodology one-pager where applicable.

2. Homepage: Homepage copy, recommended page structure and messaging hierarchy, and primary call-to-action language. Copy delivery does not include website implementation in the Sprint.

3. LinkedIn: Personal profile headline, About section, Featured-section guidance and positioning recommendations. Client implements the profile changes.

4. Sales: Sales-call Google Doc or equivalent conversation framework, qualification guidance, sales funnel document and call funnel map, booking-page messaging and confirmation-page messaging where applicable, plus sales reply and follow-up templates.

5. AI expertise system: Structured project files covering the business, ideal client, positioning, offer, process, proof and voice; project instructions; installation in one selected Claude or ChatGPT project at Session 3; and a practical usage guide. This configures a project context and does not train or fine-tune the platform’s underlying AI model.

6. Content: Content strategy and calendar covering core themes, topics and a recommended cadence, plus a Content Coach prompt/setup in the selected AI project. This does not include a contracted quantity of finished posts, videos or carousel assets.

Delivery and revision conditions

Two rounds of revisions per major deliverable are included under Section 3(b). Client inputs and approvals are required for completion. All documents in the selected Sprint scope, and AI project setup for Full Expertise Sprint clients only, are delivered at Session 3, with subsequent in-scope revisions handled within the agreed review process. Client-caused delays extend the schedule.

Client receives standard commercial usage rights for its business operations subject to Section 5. Changes in scope require a signed written addendum. Recordings, if made, are governed by Section 5A and are not automatically licensed for marketing.

Schedule B Monthly continuation service and website

The ongoing service is automatically included with paid enrollment. It costs $500 USD/month beginning 30 days after the Enrollment Date, continues month to month and may be canceled under Section 2(e). Services below require current payment and timely Client cooperation.

Shared group support calls

Client may attend one shared group support call per paid service month beginning with Month 2. Provider sets and communicates the schedule. These calls cover service-related questions and general guidance on using the delivered website, funnel and Sprint materials in a group setting; they do not include private consulting or a bespoke strategy engagement. Missed calls do not create a right to an individual replacement call, credit, refund or rollover.

Individual access to Mike L. Murphy belongs to the selected paid Sprint engagement and consists of the three working sessions in Schedule A. The $500 monthly service includes no additional individual consulting calls, private advisory sessions or direct WhatsApp access to Mike. Website planning, feedback and approvals are handled in writing through support@mikelmurphy.com; routine service coordination does not create an entitlement to private consulting.

Client should not disclose confidential business or personal information during group calls. Provider will keep Client-specific confidential materials and approvals in the private service channel; attendance does not authorize disclosure of Client’s confidential information to other participants.

Website and call funnel build

For either Sprint, Provider will build one business website and its call funnel from the messaging and copy produced in the selected Sprint and Client-supplied materials. Adaptation into the agreed website and three-page call funnel is part of this shared monthly build. This does not grant Website Sales Sprint clients the separately excluded Full Sprint documents, templates, content tools or AI project setup. Work is normally scheduled for Months 2–4. The build is included in the $500 monthly service while the subscription is active; it has no separate setup or project fee.

The total scope is up to ten distinct pages across the website and call funnel combined. The three call-funnel pages count toward that limit. Before construction, the Parties will agree the page list, platform and required Client materials in writing. Additional pages, a second site or a materially different offer, audience or brand require a separately approved written scope.

Website deliverables

1. Homepage: Adapt the Sprint homepage copy; recommend homepage SEO keywords, page title and meta description; provide one design direction/mockup using Client-supplied or properly licensed stock images; and implement the approved homepage.

2. Remaining approved website pages: Adapt the Sprint materials and Client-supplied content into copy and layouts for the agreed pages within the ten-page total. Include standard navigation, responsive desktop/mobile layouts and basic contact links or forms supported by the selected platform.

3. Newsletter or lead magnet: Integrate one Client-supplied newsletter/lead-magnet form or embed where applicable and supported by the selected platform. Client supplies the service account, lead magnet and any required embed or API access. CRM implementation, custom automation and production of the lead magnet are excluded.

4. Images and proof: Place Client-supplied logos, photos and properly licensed stock images as needed. Client must own or license supplied materials and obtain permission for testimonials, names and images used on its site. Client supplies organized proof and case-study facts; Provider adapts their presentation but does not investigate or substantiate unsupported results.

Call funnel deliverables

1. Landing page: Adapt the Sprint funnel messaging into page copy and design; implement the approved page, video embed area and booking call to action; and provide a written two-to-three-minute video script or beat outline. Client supplies any finished video and video-hosting link. Video filming, avatar creation, AI-video generation, voiceover production and editing are excluded.

2. Calendar booking page: Recommend a suitable calendar setup, adapt the booking-page copy, design and build the page, and embed or link one Client-owned calendar service. Configure one consultation event type, using Client-approved availability, duration and qualification questions.

3. Booking reminders: Write and configure the booking confirmation, a reminder 24 hours before the call by email and SMS, an email one hour before the call, and an SMS five minutes before the call. These are implemented through the selected calendar/reminder service where supported. Client must approve the reminder copy and provide suitable subscriptions, sender setup, permissions and messaging credits. Unsupported channels or timings will be replaced only with Client-approved supported alternatives; custom automation or CRM implementation requires separate scope.

4. Confirmation page: Adapt the confirmation copy, design and build the page, include instructions or a simple page graphic explaining how to confirm the calendar invitation, provide written video beats and an embed area for a Client-supplied finished video, and incorporate up to seven Client-supplied testimonial, case-study or FAQ items in total. Client supplies concise, organized facts covering the client/problem, solution and outcome where relevant.

5. Tracking: Install one Client-supplied Google Analytics property, Meta Pixel, LinkedIn Insight Tag and Google Ads tag where requested and technically supported. Configure basic page-view tracking and an available booking or confirmation event where supported. Client supplies account IDs/codes and access and approves applicable privacy/consent settings. Ad management, paid media, advanced attribution, server-side tracking and custom reporting dashboards are excluded.

Hosting setup approval and DNS assistance

Client must maintain an active Claude or ChatGPT subscription and create a Client-owned Supabase or GitHub account, as appropriate for the agreed build and hosting approach. Provider will guide account setup and any additional hosting account needed by the selected platform. These accounts are prerequisites, not a guarantee that any single account alone provides every required hosting capability.

Provider will configure the agreed hosting/deployment setup, deploy the approved website and funnel, help connect Client’s custom domain, and assist Client in switching the relevant DNS records after explicit written approval of the site. Provider will coordinate the required records and check that the approved pages load at the connected domain once DNS has propagated. Existing email and unrelated DNS records will be preserved unless Client explicitly approves a necessary change.

Client retains domain/account ownership and supplies DNS access or makes the instructed changes. Provider will use secure delegated access or screen sharing where available. Provider does not guarantee DNS propagation times, third-party uptime or uninterrupted migration. Initial hosting setup and DNS assistance are included; third-party hosting, domains, subscriptions, plugins, stock licenses and messaging credits are paid by Client. Provider obtains approval before incurring such costs on Client’s behalf.

Website feedback revisions and delays

Client agrees to supply requested website/funnel inputs and consolidated, specific feedback or approval within five Business Days of each request or draft delivery. Two rounds of in-scope revisions are included per major deliverable, covering copy and page design. Requests must remain within the agreed Sprint strategy and page scope. New concepts, changed core messaging, extra revision rounds or additional functionality require an approved written scope and fee before work begins; no automatic hourly rate applies.

For website/funnel work, silence is not deemed approval. If feedback, materials, access or approval are late, the project and its dependent milestones move to the next reasonable available production slot. Provider will communicate the revised schedule. The target is completion by the end of Month 4, but Client-caused delays may push completion into later months. Provider will continue the originally agreed in-scope build while the subscription remains active, including beyond Month 4 where delayed.

No separate delay, restart or additional project fee is charged solely because Client delays the project. The normal $500 subscription continues each month until canceled; therefore, a delayed completion may involve more months of subscription payments. Delays do not expand the page limit or revision allowance. The shared group call allowance and routine maintenance scope remain the same even if Client delays the build.

Provider will publish the approved site and assist with DNS only after Client’s affirmative written approval. On cancellation, the ZIP handover and replacement-site responsibilities in Section 10(d) apply; unfinished work is supplied in its then-current state, and the remaining build is not owed after cancellation.

Routine website maintenance and service limits

During each paid service month beginning with Month 2, Client receives up to two hours of routine maintenance for the website and call funnel delivered under this Agreement. This covers minor text, image and link updates on existing pages; corrections to existing layouts or forms; and routine compatibility or functionality fixes within the agreed platform and existing design. Client supplies approved replacement content and assets. The allowance applies to maintenance work, including review and implementation of those requests. It does not cap or replace the separately agreed initial build or its included revision rounds.

Requests must be submitted in writing to support@mikelmurphy.com and are scheduled within the available maintenance allowance. Unused hours expire at the end of each service month and do not roll over, create credits or reduce fees. The allowance is not an emergency support or guaranteed turnaround commitment. If a request exceeds the remaining allowance, Provider will explain the scope and obtain Client’s written agreement to defer it to a later service month or approve separate work and fees before proceeding. No excess charge applies without approval.

The monthly service does not include individual consulting calls, direct WhatsApp access to Mike, unlimited development, bespoke strategy work, new offers or positioning, new pages beyond the agreed initial build, additional websites, major redesigns, custom functionality, custom automation, CRM implementation, ongoing content production or campaign management. Changes to Sprint strategy, communication documents or AI project files are not included as routine website maintenance. General guidance on using those materials may be provided in the shared group call. Any additional work requires a separate written scope and approved fee.
